Legal Agreement
Clear, fair terms that govern your use of Ainna. We believe legal documents should be readable — so we've written these in plain language while still protecting everyone's rights.
1. Definitions
Key terms used throughout this agreement
In these Terms, the following words have specific meanings:
"Ainna" means the Ainna platform accessible at ainna.ai, including all associated software, AI-powered strategic analysis tools, document generation capabilities, and services provided by Innovation Mode Limited.
"Company," "we," "us," "our" refers to Innovation Mode Limited, a company registered in Ireland (Company Registration Number: 785034), with registered office at 51 Bracken Road Dublin 18, D18 CV48, DUBLIN.
"You," "your," "user" refers to the individual or entity accessing or using Ainna.
"Service" means the Ainna platform, including our AI-powered product strategy tools, opportunity framing and assessment capabilities, market and competitive analysis, persona analysis, brainstorming, document generation, and all related features and functionality.
"Inputs" means all information, ideas, data, and content you provide to Ainna during your use of the Service, including responses provided during strategic conversations.
"Outputs" means all assessments, opportunity scores, strategic analysis, competitive landscapes, persona profiles, market analysis, documents, presentations, and other materials generated by Ainna based on your Inputs.
"Documents" means the downloadable files generated by Ainna, including pitch decks, PRDs, executive summaries, one-pagers, problem framing documents, portfolio decks, and related materials. Documents are file artifacts generated from underlying strategic data and are subject to automatic deletion 30 days after generation. Documents can be re-downloaded (regenerated from the underlying data) at any time while the underlying Opportunity data exists.
"Opportunity" means a product concept within Ainna, including all associated conversations, assessments, scores, persona profiles, competitive analysis, market analysis, and generated Outputs for a single product idea. Also referred to as an "idea" or "project" within the platform.
"Brainstorming" means the open-ended ideation mode within Ainna for exploring ideas, generating adjacent possibilities, and reframing constraints. Brainstorming is unlimited on all plans and does not consume Opportunity allocations.
"Sprint Package" means a one-time purchase providing fixed-duration access to Ainna's strategic analysis and document generation capabilities for a defined number of Opportunities.
"Continuous Plan" means a recurring monthly or annual subscription providing ongoing access to Ainna's capabilities with a monthly Opportunity allocation.
"The Innovation Mode" refers to our proprietary methodology and strategic frameworks that underpin Ainna's opportunity assessment, strategic analysis, and document generation capabilities.
"Your Branding" means your company name, logo, colours, taglines, or other branding materials you upload to the Service for incorporation into your Outputs.

2. Acceptance & Eligibility
Requirements for using Ainna
2.1 Acceptance of Terms
By creating an account, accessing the Service, making a purchase, or using Ainna in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
2.2 Authority to Bind
If you are using Ainna on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In such cases, "you" refers to both you individually and the organisation you represent.
2.3 Age Requirement
You must be at least 18 years old to use Ainna. The Service is designed for product managers, founders, and business professionals and is not intended for use by minors.

3. Your Account
Account creation, security, and management
3.1 Account Creation
To use Ainna, you must create an account using LinkedIn authentication. We use LinkedIn because our users are product managers and business professionals — no passwords to create or remember, and we never see your LinkedIn credentials. We receive only basic profile information: name, email, and profile picture. Additional authentication methods may be offered in the future.
3.2 Account Security
You are responsible for maintaining the security of your account and for all activities that occur under it. If you suspect unauthorised access, notify us immediately. We are not liable for losses arising from unauthorised use where you have failed to maintain adequate security.
3.3 Data Retention & Automatic Deletion
Ainna automatically deletes data according to the following schedule:
(a) Generated Documents — Document file artifacts (pitch decks, PRDs, summaries, and other downloadable files) are automatically deleted 30 days after generation. This applies to all account types. The underlying strategic data (conversations, assessments, analysis) from which Documents were generated is not affected by Document deletion and remains available under the account-level retention rules below. You may re-download (regenerate) Documents from the underlying data at any time, provided the Opportunity data still exists.
(b) Trial and free accounts — If your account has had no activity for 90 consecutive days, we will notify you by email. You will have 14 days to log in and keep your account active. If we do not hear from you, all account data — including all Opportunities, conversations, assessments, and associated content — will be permanently deleted.
(c) Accounts that have made any paid purchase (Sprint Package or Continuous Plan) — While a paid plan is active, no inactivity-based deletion applies. After a paid plan expires (sprint window closed, subscription cancelled or lapsed), if your account has no activity for 2 consecutive years, we will notify you by email at 60 days and again at 14 days before deletion. If we do not hear from you, all account data will be permanently deleted. Any login resets the 2-year inactivity clock.
(d) Opportunity deletion — When you delete an Opportunity, all associated Documents and data are immediately and permanently deleted.
For the purposes of this section, "activity" means an authenticated login event.
We strongly recommend downloading all Documents you wish to keep before they are automatically deleted.
3.4 Hard Deletion on Request
You may request immediate permanent deletion of any Opportunity at any time via Account Settings or by contacting us. Hard deletion is irreversible — all associated conversations, assessments, Documents, and data are permanently destroyed with no possibility of recovery.
3.5 Account Closure
You may close your account at any time via Account Settings → My Account. You will be asked to confirm this action to prevent accidental deletion. Account closure triggers complete hard deletion of all your data: all Opportunities, conversations, assessments, Documents, Outputs, branding materials, and any other content associated with your account are permanently destroyed — hard deletion, no backups, no recovery possible. We retain only basic account creation and billing records as required for legal and financial purposes. Before closing your account, ensure you have downloaded all Documents and content you wish to keep.

4. The Service
What Ainna provides and service availability
4.1 Service Description
Ainna is an AI product strategy platform built for product managers, founders, and business professionals. The Service guides you through structured strategic analysis of product opportunities using The Innovation Mode methodology — from initial idea framing through opportunity assessment, competitive analysis, market sizing, persona development, and stakeholder-ready documentation. Ainna operates across four modes of strategic work:
• Frame — Guided conversations that help you articulate what the product is, who it's for, why now, and what makes it defensible. Includes brainstorming for open-ended ideation.
• Assess — Structured opportunity scoring across viability, feasibility, desirability, and strategic fit. Persona analysis with user stories, pain hierarchies, and behavioural patterns.
• Reframe — Competitive landscaping, market sizing (TAM/SAM/SOM), positioning strategy, and iterative refinement as your thinking evolves.
• Release — Generation of stakeholder-ready Documents including pitch decks, PRDs, executive summaries, one-pagers, and problem framing materials — branded to your standards and fully editable.
4.2 Access Options
Ainna offers several ways to access the platform:
(a) Free Trial — Full strategic access for a limited duration with a limited number of Opportunities and unlimited Brainstorming. No credit card required. Document previews are included; downloadable Documents are available with any paid plan or on re-download from existing data.
(b) Sprint Packages — One-time purchases providing fixed-duration access for time-bounded strategic work such as hackathons, venture validation, or board preparation. Each Sprint Package specifies the number of Opportunities, available features, and access window duration.
(c) Continuous Plans — Monthly or annual subscriptions providing ongoing access with monthly Opportunity allocations, unlimited Brainstorming, and full document generation capabilities. Annual billing is available at a discounted rate.
(d) Enterprise — Custom pricing with team seats, API access, SSO, customer-managed encryption keys, self-hosted deployment options, dedicated support, and advisory services.
Only one active plan (Sprint Package or Continuous Plan) may be held at a time. Sprint Packages and Continuous Plans cannot run concurrently.

4.3 Plan Expiry
When a Sprint Package window closes or a Continuous Plan subscription lapses, your account becomes read-only for new strategic work. All existing Opportunities, conversations, assessments, and analysis are preserved and viewable under the data retention rules in Section 3.3. Documents can be re-downloaded from existing data. New Opportunities or new strategic analysis require a new purchase. Brainstorming remains available.
4.4 Service Availability
We endeavour to keep Ainna available at all times, but we do not guarantee uninterrupted or error-free access. The Service may be unavailable due to scheduled maintenance, updates, technical issues, or circumstances beyond our reasonable control. We shall not be liable for any loss, damage, or inconvenience caused by service unavailability.
4.5 Service Modifications
We continuously improve Ainna and may add, modify, or discontinue features at any time. We will endeavour to provide reasonable notice for significant changes that affect paid functionality.

5. Pricing & Payment
How billing and payments work
5.1 Pricing
Ainna offers Sprint Packages (one-time purchases), Continuous Plans (monthly or annual subscriptions), and Enterprise arrangements. Current pricing is available on our pricing page. We reserve the right to change prices at any time, but changes will not affect Sprint Packages already purchased or active Continuous Plan billing periods.
5.2 Payment Processing
Payments are processed securely through Stripe. We never see or store your card details. By making a purchase, you authorise us to charge your designated payment method. You are responsible for ensuring your payment information remains current and valid.
5.3 Opportunity Allocations
Sprint Packages include a fixed number of Opportunities for the duration of the sprint window. Continuous Plans include a monthly Opportunity allocation that resets each billing period. Unused Opportunity allocations from Continuous Plans do not carry over between billing periods. Brainstorming is unlimited on all plans and does not consume Opportunity allocations.
5.4 Subscriptions
Continuous Plans renew automatically at the end of each billing period (monthly or annual) unless cancelled. Annual billing is available at a discounted rate as specified on our pricing page. You may cancel at any time via Account Settings → Billing. Upon cancellation, your subscription access continues until the end of your current billing period, after which your account enters read-only mode as described in Section 4.3. You retain access to existing Opportunities and content under the data retention rules in Section 3.3, and may purchase a new plan at any time.
5.5 Upgrades and Plan Changes
You may move between plans. Sprint-to-subscription or tier upgrades are handled with prorated credit where applicable. Only one active plan may be held at a time.
5.6 Taxes
All prices are exclusive of applicable taxes, including VAT. You are responsible for all taxes associated with your purchases, and we will add applicable taxes to your invoice where required by law.

6. Refunds & Cancellations
Our refund and cancellation policies
6.1 Refund Policy
Our policy is simple and fair: (a) Before generation — full refund, no questions asked; (b) After generation, before download — we will work with you on regeneration or credit; (c) After download — no refunds, as you retain full ownership and perpetual use rights to your Outputs.
6.2 Technical Failures
If a technical failure on our part prevents successful Document generation, we will make it right with a refund or credit.
6.3 Subscription Cancellation
Cancel anytime. No lock-ins, no penalties. Go to Account Settings → Billing and click Cancel Subscription. Your access continues until the end of your current billing period. After that, your account enters read-only mode — you keep access to all your existing Opportunities and content under the data retention rules in Section 3.3, can re-download Documents from existing data, and may purchase a new plan at any time. No data lost. No lock-out.
6.4 No Refunds for Violations
If your account is suspended or terminated due to violation of these Terms, you are not entitled to any refund of prepaid fees or any remaining portion of your plan.

7. Your Content & Ownership
You own what you create
7.1 Your Inputs
You retain all ownership rights in your Inputs. The ideas, product concepts, business information, and other content you provide to Ainna remain entirely yours. By using the Service, you grant us a limited, non-exclusive licence to process your Inputs solely for the purpose of providing the Service to you. This licence terminates when you delete your account or the relevant content.
7.2 Your Outputs
The ideas, strategies, and substance within your Outputs belong entirely to you. You have unrestricted rights to use, modify, and share your Outputs for your own business purposes — investor pitches, internal presentations, stakeholder alignment. Teams within your organisation may reuse Outputs as templates for future internal work.
7.3 Our Methodology
The underlying structure, frameworks, and methodology embedded in Ainna's Outputs remain proprietary to The Innovation Mode. Extracting, rebranding, or reselling these structures as templates, frameworks, or deliverables for third parties is not permitted. Agencies and consultancies wishing to use Ainna for client work should contact us about commercial licensing.
7.4 No Training on Your Data
We do not use your Inputs or Outputs to train, improve, or develop any AI models. Your data is processed to generate your Outputs. That's it. It's never fed into training pipelines, never shared with third parties for AI training, and never used to improve results for other users. We use AI infrastructure providers whose API terms explicitly exclude customer data from model training. Your content passes through, it doesn't stay.
7.5 Your Branding
When you upload Your Branding, you grant us a limited licence to incorporate it into your Outputs. You represent and warrant that: (a) you own or have obtained all necessary rights, licences, and permissions to use Your Branding; (b) Your Branding does not infringe the intellectual property rights, trademark rights, or any other rights of any third party; (c) you are authorised to use Your Branding in connection with the product concepts and documentation you generate; and (d) your use of Your Branding complies with all applicable laws and regulations. You are solely responsible for any claims, damages, or liabilities arising from your use of branding materials you do not have the right to use. Innovation Mode Limited does not verify, validate, or authenticate Your Branding and expressly disclaims any responsibility for trademark infringement, copyright infringement, passing off, or any other intellectual property violations arising from Your Branding. If you are uncertain whether you have the right to use particular branding materials, do not upload them.
7.6 Your Responsibilities
You are solely responsible for your Inputs and for how you use your Outputs. This includes ensuring that your Inputs do not infringe any third-party intellectual property rights, that your Outputs are reviewed for accuracy before use, and that your use of Outputs complies with all applicable laws. You are responsible for ensuring that you have the right to share any information you provide to Ainna and that your Inputs do not include information you are legally prohibited from disclosing, including material subject to confidentiality obligations, non-disclosure agreements, trade secret protections, or regulatory restrictions. Do not submit material non-public financial information, protected health information, or other data categories subject to specific legal handling requirements. We have no obligation to review, monitor, or verify your content.
7.7 Security of Downloaded Files
Once you download your Outputs, you are solely responsible for their security, storage, distribution, and protection. This includes: (a) securing files on your devices and systems; (b) controlling who has access to your files; (c) deciding with whom and how you share your files; (d) protecting sensitive or confidential information contained within your Outputs; and (e) maintaining appropriate backups. We have no control over, and accept no responsibility for, the security of your files after download. You acknowledge that Outputs may contain commercially sensitive information, strategic assessments, and proprietary business concepts. Any loss, theft, unauthorised access, accidental disclosure, or misuse of your downloaded files is entirely your responsibility. We strongly recommend using appropriate security measures, including encryption, access controls, and secure sharing methods, particularly when Outputs contain confidential business information.
7.8 Document Retention
Generated Document file artifacts are automatically deleted 30 days after generation. Documents are also immediately deleted when you delete the corresponding Opportunity. The underlying strategic data from which Documents are generated persists under the account-level retention rules in Section 3.3, and Documents can be re-downloaded from that data at any time while the Opportunity exists. Download your Documents promptly if you wish to keep offline copies. Once Documents are deleted and the underlying Opportunity data has also been deleted, Documents cannot be recovered. We are not liable for any loss resulting from your failure to download Documents.

8. Our Intellectual Property
What belongs to Innovation Mode Limited
8.1 Ainna Platform
The Ainna platform — including all software, source code, object code, AI models, machine learning algorithms, user interface designs, graphics, logos, patent-pending assessment technology, proprietary strategic frameworks, and underlying technology — is owned exclusively by Innovation Mode Limited and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in the platform.
8.2 The Innovation Mode Methodology
The Innovation Mode is our proprietary strategic methodology developed over 25+ years of product innovation consulting. It comprises frameworks, processes, templates, assessment tools, strategic guidance, and know-how that underpin Ainna's product strategy, opportunity assessment, and document generation capabilities. While you receive the benefit of this methodology in your Outputs (which you own), the methodology itself — including any structural patterns, frameworks, or strategic templates embedded in Outputs — remains our exclusive intellectual property and trade secret.
8.3 Output Structure vs. Content
To be clear: you own the content, ideas, and substance within your Outputs. However, the underlying document structures, strategic frameworks, assessment methodologies, and organisational patterns embedded in those Outputs remain proprietary to The Innovation Mode. You may not extract, replicate, rebrand, or resell these structures as templates, frameworks, methodologies, or deliverables for third parties.
8.4 Strict Prohibitions
You expressly agree that you shall NOT:
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, data structures, or underlying logic of any part of the Service, including our AI models and assessment technology
• Extract, copy, or replicate our AI models, training data, model weights, parameters, or any machine learning components
• Extract, rebrand, or resell the structural frameworks, templates, methodologies, or strategic patterns embedded in Outputs as your own products or deliverables
• Use automated tools, scripts, bots, scrapers, or crawlers to access, extract, or download data from the Service beyond normal authorised usage
• Create derivative works, modifications, or adaptations of the Service, The Innovation Mode methodology, or any component thereof
• Remove, alter, or obscure any copyright notices, trademarks, or other proprietary notices from the Service
• Use the Service to develop, train, or improve any competing AI product, service, methodology, or model
• Resell, sublicense, lease, rent, or distribute access to the Service to any third party without explicit written agreement
• Use Ainna for commercial client delivery (e.g., agencies, consultancies) without an appropriate commercial licence
• Probe, scan, or test the vulnerability of the Service or circumvent any security, authentication, or access control measures
Any violation of these prohibitions constitutes a material breach of these Terms and may result in immediate termination without refund, as well as civil liability and, where applicable, criminal prosecution.
8.5 Feedback
If you provide suggestions, ideas, enhancement requests, or other feedback about Ainna, you grant us a perpetual, worldwide, royalty-free, irrevocable, sublicensable licence to use, modify, and incorporate that feedback into our products and services without compensation or attribution to you.

9. Acceptable Use Policy
Rules for using Ainna responsibly
9.1 Permitted Use
Ainna is an AI product strategy platform designed for legitimate business purposes: exploring and assessing product opportunities, conducting strategic analysis, brainstorming, generating documentation, and related professional content. You agree to use the Service only for its intended purposes and in compliance with these Terms and all applicable laws.
9.2 Privacy-First Approach
We do not routinely monitor, scan, or surveil your Inputs or Outputs. We have no interest in reading your strategic work, and we do not use automated content scanning systems to review what you create. Your content is processed to generate your Outputs — that's it. This privacy-first approach means we rely on Ainna's built-in safeguards and your responsible use of the platform. We may analyse conversations using automated methods solely to assess the quality and effectiveness of Ainna's strategic guidance; only aggregate quality indicators are retained, and no user content is surfaced or accessible through this process.
9.3 Built-In Safeguards
Ainna is configured to refuse requests for inappropriate or harmful content. Our AI models include guardrails designed to prevent misuse. However, no safeguard system is infallible. You agree not to attempt to circumvent, bypass, or manipulate these safeguards through adversarial prompting, prompt injection, or any other technique.
9.4 Limited Exceptions
In exceptional circumstances only, we reserve the right to access or review account activity, Inputs, or Outputs where reasonably necessary to:
• investigate a specific report of abuse, prohibited use, or a violation of these Terms;
• respond to a valid legal obligation, court order, or regulatory requirement;
• investigate a security incident, suspected fraud, or unauthorised access affecting your account or the Service;
• assess a specific quality or safety concern raised by a user or detected by our systems; or
• protect the rights, safety, or property of Innovation Mode Limited, our users, or third parties where we reasonably believe there is a risk of harm.
Any such review will be limited in scope to the specific concern, conducted only to the extent necessary, and will not be used for AI model training or shared with third parties except as required by law. These exceptions do not alter our commitment under Section 7.4 — your content is never used to train, improve, or develop AI models.
9.5 Prohibited Content
You shall NOT use Ainna to generate, request, or process content that is:
• Sexual, pornographic, or sexually explicit
• Violent, threatening, or inciting harm to any individual or group
• Hateful, discriminatory, or harassing based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Malicious, including content designed to facilitate malware, phishing, scams, or fraud
• Illegal or promoting illegal activities in any applicable jurisdiction
• Defamatory, libellous, or fraudulent
• Infringing on the intellectual property rights of any third party
• Deliberately misleading or deceptive, intended to deceive investors, stakeholders, regulators, or the public with knowingly false information
• Designed to circumvent safeguards, including adversarial prompts, jailbreaks, or prompt injection attempts
• Using branding, logos, or trademarks you do not own or have authorisation to use
9.6 Your Responsibility
If you intentionally or through circumvention cause Ainna to generate prohibited content, you bear sole and exclusive responsibility for that content and all consequences arising from it. Because we do not routinely monitor your content, you are responsible for ensuring your use of Ainna complies with these Terms and applicable laws. We expressly disclaim any liability for prohibited content generated through manipulation, adversarial prompting, or circumvention of our safeguards.
9.7 Prohibited Conduct
In addition, you shall NOT:
• Generate fraudulent, misleading, or deceptive materials intended to deceive third parties
• Share your account credentials or allow unauthorised access to your account
• Use automated systems, bots, or scripts to access the Service beyond normal usage patterns
• Attempt to circumvent usage limits, rate limiting, or access controls
• Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service for any purpose that is unlawful or prohibited by these Terms
• Use Ainna for commercial client delivery without an appropriate commercial licence

10. Important Disclaimers
Critical limitations you must understand
PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT LIMITATIONS AND DISCLAIMERS THAT AFFECT YOUR RIGHTS AND RESPONSIBILITIES.
10.1 AI-Generated Content — General
Ainna combines advanced AI models with proprietary strategic frameworks, structured guardrails, and The Innovation Mode methodology. However, AI technology has inherent limitations, and all Outputs — including strategic analysis, opportunity assessments, competitive landscapes, persona profiles, market sizing, scores, recommendations, and generated Documents — may contain errors, inaccuracies, biases, omissions, unverified assertions, outdated information, or content requiring refinement. In particular, AI models may generate specific claims, statistics, company names, market figures, or other factual-sounding statements that appear detailed and authoritative but are partially or entirely fabricated. The specificity or confidence of a statement in an Output is not an indicator of its accuracy. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND CRITICALLY EVALUATING ALL OUTPUTS BEFORE ANY USE. You agree that: (a) you will not rely on any Output as a sole source of truth, factual information, or substitute for professional advice; (b) you will use appropriate human review and independent verification before acting on, sharing, or presenting any Output; and (c) you will evaluate all Outputs for accuracy, completeness, and appropriateness for your specific use case before any use. All Outputs should be treated as high-quality starting points that require your professional review and judgement, not as validated conclusions.
10.2 Opportunity Assessments and Scores Are Not Validation
Ainna's opportunity scoring, viability assessments, feasibility ratings, desirability scores, and strategic fit evaluations are AI-generated analytical frameworks, not market validation, business validation, or predictions of success. A high score does not mean an opportunity will succeed. A low score does not mean it will fail. These assessments are generated by applying structured methodology to the information you provide, combined with AI reasoning. They are designed to surface considerations, challenge assumptions, and structure your thinking — not to replace your judgement or substitute for real-world validation, customer research, market testing, or expert analysis. You must not treat opportunity scores or assessments as endorsements, guarantees, or reliable predictions of commercial viability. Ainna's analysis of your product concept does not constitute endorsement, validation, or approval of that concept by Innovation Mode Limited. You may not represent or imply that Innovation Mode Limited or Ainna has endorsed, validated, or approved your product, business, or opportunity based on any Output, score, or assessment.
10.3 Strategic Recommendations Are AI-Generated Analysis
During strategic conversations, Ainna may suggest positioning strategies, identify market gaps, recommend target personas, challenge assumptions, highlight risks, or express views on the strength or weakness of aspects of your opportunity. All such guidance is AI-generated analysis, not professional strategic advice. Ainna's conversational recommendations are generated by applying structured frameworks to your Inputs and do not account for factors outside the scope of your conversation, including real-world market conditions, regulatory requirements, competitive dynamics unknown to the system, or information you have not provided. You are responsible for applying your own judgement, domain expertise, and independent research before acting on any recommendation.
10.4 No Ethical, Safety, or Regulatory Assessment

10.14 Data Loss & Service Reliability
WE ARE NOT LIABLE FOR ANY LOSS OF DATA, CONTENT, OR OUTPUTS. This includes losses caused by system failures, software defects, hardware failures, cyberattacks, service interruptions, account termination, your failure to download Documents before automatic deletion, the 30-day Document artifact retention period, account-level inactivity deletion, or any other cause. You are solely responsible for maintaining backup copies of any content you wish to preserve. We strongly recommend downloading all Documents promptly after generation.
10.15 Third-Party Reliance
You are solely responsible for how you use, present, share, or distribute Outputs to third parties. If you present an Ainna-generated pitch deck to investors, share a PRD with colleagues, or distribute any Output to any third party, you assume all responsibility for that content. We have no liability for any claims, damages, or losses arising from third-party reliance on your Outputs.
10.16 "As Is" Provision

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) our gross negligence or willful misconduct; (d) any breach of our obligations regarding your personal data under GDPR; or (e) any other liability that cannot be excluded or limited under applicable law, including under Irish and EU consumer protection laws where applicable.
11.3 Basis of the Bargain
You acknowledge that the limitations of liability in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Innovation Mode Limited. The Service would not be provided without these limitations.

12. Indemnification
Your responsibility to protect us from claims
12.1 General Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Innovation Mode Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:
(a) your access to or use of the Service;
(b) your Inputs or Outputs, including any Documents generated for you;
(c) your breach of these Terms;
(d) your violation of any third-party rights, including intellectual property, privacy, or data protection rights;
(e) your violation of any applicable law or regulation;
(f) any claim that your Outputs caused damage to a third party;
(g) your presentation, distribution, or sharing of Outputs with third parties, including investors, stakeholders, colleagues, or clients;
(h) any dispute between you and any third party relating to your use of the Service;
(i) any third-party reliance on opportunity assessments, scores, market data, projections, strategic recommendations, or any other content in your Outputs;
(j) your use of the Service for commercial client delivery without an appropriate commercial licence;
(k) extraction, rebranding, or resale of The Innovation Mode methodology, frameworks, or structural templates embedded in Outputs;
(l) any attempt to circumvent, bypass, or manipulate the Service's built-in safeguards;
(m) any prohibited content generated through manipulation, adversarial prompting, or circumvention of our safeguards;
(n) your use of branding materials, logos, trademarks, or company names that you do not have the right to use;
(o) any investment, funding, or financial decisions made by you or third parties in reliance on your Outputs; or
(p) any decisions made based on your interpretation of Ainna's strategic analysis, opportunity assessments, or recommendations, including decisions relating to product development, market entry, regulatory compliance, or ethical considerations.
12.2 Indemnification Process
We will promptly notify you of any claim subject to indemnification. You shall not settle any claim without our prior written consent. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.
12.3 Survival
Your indemnification obligations shall survive the termination or expiration of these Terms and your use of the Service.

13. Suspension & Termination
When and how accounts may be closed
13.1 Termination by You
You may close your account at any time via Account Settings → My Account. You will be asked to confirm this action to prevent accidental deletion. Before closing, we recommend downloading any Documents and content you wish to keep. Account closure triggers complete hard deletion: all Opportunities, conversations, assessments, Documents, Outputs, branding materials, and any other content associated with your account are permanently destroyed — hard deletion, no backups, no recovery possible. We retain only basic account creation and billing records as required for legal and financial purposes.
13.2 Suspension by Us
We reserve the right to suspend your access to the Service immediately and without prior notice if:
• We reasonably believe you have violated these Terms or any applicable law
• We detect suspicious, fraudulent, or unauthorised activity on your account
• You attempt to circumvent our content moderation, security, safeguards, or access control measures
• You use the Service for commercial client delivery without an appropriate commercial licence
• You extract, rebrand, or resell The Innovation Mode methodology, frameworks, or structural templates
• Your use poses a risk to the Service, other users, or third parties
• We are required to do so by law, regulation, court order, or legal process
• Your payment method is declined or you have outstanding unpaid fees
13.3 Termination by Us
We may terminate your account permanently if: (a) you materially breach these Terms; (b) you engage in repeated violations; (c) you engage in conduct prohibited under Section 9 (Acceptable Use); (d) you engage in conduct prohibited under Section 8 (Our Intellectual Property); (e) we are required by law; or (f) we discontinue the Service. Where practicable, we will provide notice before termination, but we are not obligated to do so.
13.4 Effect of Suspension or Termination
Upon suspension or termination: (a) your right to use the Service ends immediately; (b) you lose access to your account, Inputs, and any undownloaded Documents and Outputs; (c) we may delete your data immediately — hard deletion, no backups, no recovery possible. If your account is suspended or terminated for violation of these Terms, you forfeit all prepaid fees and any remaining access periods without refund or compensation. Any Documents you have already downloaded remain yours.
13.5 Data Export
Before closing your account, ensure you download any content you wish to keep. You can download your Documents and export your workspace data. Once your account is closed or terminated, we cannot recover your data and are under no obligation to do so.
13.6 Survival
The following sections shall survive termination: Definitions (Section 1), Your Content & Ownership (Section 7), Our Intellectual Property (Section 8), Acceptable Use (Section 9), Important Disclaimers (Section 10), Limitation of Liability (Section 11), Indemnification (Section 12), Third-Party Services (Section 15), Dispute Resolution (Section 17), and any other provisions that by their nature should survive.

14. Team and Enterprise Accounts
Additional terms for multi-seat access
14.1 Team Accounts
Continuous Plans that include multiple seats ("Team Plans") allow designated team members to access the Service under a single account. The account owner or administrator is responsible for managing team membership, permissions, and compliance with these Terms by all team members.
14.2 Shared Workspaces
Team Plans may include shared workspaces where team members can view and collaborate on Opportunities. All content within shared workspaces is subject to the same ownership, privacy, and retention rules as individual content. The account administrator controls workspace access and permissions.
14.3 Team Member Responsibilities
Each team member must comply with these Terms individually. The account owner or administrator is responsible for ensuring all team members are aware of and comply with these Terms and is liable for violations by team members.
14.4 Enterprise Arrangements
Enterprise accounts are governed by separate written agreements that may supplement or modify these Terms. Enterprise features — including SSO, self-hosted deployment, customer-managed encryption keys, API access, and advisory services — are specified in the applicable Enterprise agreement.

15. Third-Party Services
External services we integrate with
15.1 Integrated Services
Ainna integrates with third-party services to provide the Service, including:
• Authentication — LinkedIn OAuth for secure sign-in. We receive only basic profile information (name, email, profile picture). We never see your LinkedIn credentials.
• Payment Processing — Stripe for secure payment handling. We never see or store your card details. Stripe is PCI-DSS compliant.
• Cloud Infrastructure — Enterprise-grade hosting in EU data centres, subject to GDPR and EU data protection standards.
• AI Infrastructure — AI providers whose API terms explicitly exclude customer data from model training. Your content passes through, it doesn't stay.
15.2 Third-Party Terms
Your use of integrated third-party services may be subject to those providers' own terms and privacy policies. We encourage you to review the terms of any third-party service you interact with through Ainna.
15.3 No Warranty
We are not responsible for the availability, security, performance, or practices of any third-party services. Third-party services are provided "as is" without any warranty from us. We shall not be liable for any loss or damage arising from third-party service failures, outages, or changes to their terms or functionality.
15.4 Changes to Third-Party Services
Third-party providers may modify, suspend, or discontinue their services at any time. If a third-party service essential to Ainna becomes unavailable, we will endeavour to find alternatives, but we do not guarantee uninterrupted functionality.

16. Force Majeure
Events beyond our control
16.1 Excused Performance
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
• Natural disasters, including floods, fires, earthquakes, or severe weather events
• Epidemics, pandemics, or public health emergencies
• War, armed conflict, terrorism, civil unrest, or government actions
• Cyberattacks, hacking, distributed denial-of-service attacks, or security breaches beyond industry-standard protections
• Failure of third-party services, including cloud providers, AI infrastructure providers, authentication providers, or payment processors
• Changes to third-party AI models, APIs, or services that affect Ainna's functionality
• Internet outages, telecommunications failures, or infrastructure failures
• Power outages or utility failures
• Labour disputes, strikes, or supply chain disruptions
• Regulatory or legal changes affecting AI services or data processing
16.2 Our Obligations
In the event of a force majeure, we will: (a) notify affected users as soon as reasonably practicable; (b) use reasonable efforts to mitigate the impact and restore normal service; and (c) resume performance of our obligations as soon as the force majeure event ceases or is resolved.
16.3 Extended Events
If a force majeure event continues for more than 60 consecutive days, either party may terminate the affected subscription by providing written notice. In such case, we will provide a pro-rata refund of any prepaid fees for the period during which the Service was unavailable.
16.4 No Liability for Data
We shall not be liable for any loss of data, Inputs, Documents, or Outputs resulting from force majeure events. You are responsible for maintaining your own backups of any content you wish to preserve.

17. Dispute Resolution
How disagreements are handled
17.1 Informal Resolution First
We believe most disputes can be resolved without litigation. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@ainna.ai. We will endeavour to resolve the matter within 30 days. This informal dispute resolution process is a prerequisite to any formal action.
17.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
17.3 Jurisdiction
Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland. You irrevocably submit to the jurisdiction of such courts and waive any objection based on inconvenient forum.
17.4 Consumer Rights
If you are a consumer within the European Union, you benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your statutory rights as a consumer or limits any rights that cannot be waived under applicable law. You may also access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
17.5 Time Limitation
To the extent permitted by applicable law, any claim arising from these Terms or your use of the Service must be brought within six (6) months after the cause of action arises, or such claim shall be permanently barred. This limitation does not apply where prohibited by law, including under EU consumer protection regulations.
17.6 Costs
Each party shall bear its own costs and legal fees in connection with any dispute, unless a court orders otherwise or applicable law requires a different allocation.
17.7 Injunctive Relief
Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights, including The Innovation Mode methodology, proprietary frameworks, and patent-pending technology, without first engaging in informal dispute resolution.

18. Referral Programme
How the Ainna Fellows programme works
18.1 Referral Programme
Ainna offers a referral programme ("Ainna Fellows") through which users may refer others to the Service. Referral terms, reward structures, and eligibility criteria are published on our website and may be updated from time to time. Participation in the referral programme is subject to these Terms and any additional programme-specific terms published on the website.
18.2 Programme Modifications
We reserve the right to modify, suspend, or discontinue the referral programme at any time. Changes to reward structures will not retroactively affect rewards already earned.

19.1 Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes via email or through the Service before they take effect. Your continued use of Ainna after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service before they take effect. Active paid plans will be honoured under the terms in effect at the time of purchase for the remainder of the then-current billing or sprint period.
19.2 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference (including Enterprise agreements where applicable), constitute the entire agreement between you and Innovation Mode Limited regarding your use of the Service and supersede all prior agreements, communications, and understandings, whether written or oral.
19.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions shall continue in full force and effect.
19.4 No Waiver
Our failure to enforce any right or provision of these Terms at any time shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Innovation Mode Limited to be effective.
19.5 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of assets. In the event of such assignment, your rights under these Terms will not be diminished.
19.6 Relationship of Parties
